General
Welcome to LiveBoard! Here you will find the Terms and Conditions of use of our Services (“Services”). Please, read these Terms carefully before using our Services. These Terms and Conditions are a binding agreement between you (hereinafter “you” or “user”) and us (hereinafter “us”, “we”, “our” is referred to LiveBoard). By accessing our Website, creating an Account or using our Services you are accepting to be bound by these Terms.

We work hard to improve our Services and provide you with the best possible experience. Please note, these Terms may be subject to modifications from time to time. In such case we will send you a 30 day advance notification by email with the modified terms. By continuing to access our Website, your Account and using our Services you continue to agree to be bound by our Terms.
Services
LiveBoard offers a wide range of educational services. Schools, educators, tutors, teachers, instructors, and students can benefit from the Services we provide. Educators may organize a class, record the class, and use a variety of features to keep students actively involved in class, make quizzes, engage students with quick questions, insert any images, pdf documents and collaborate with students in live mode.
Registration
In order to be able to use the Services fully and get a fulfilling user experience, you will need to register with LiveBoard by creating an account. When you create and maintain your account, you must provide us with accurate and complete information about yourself or your organization, including a valid email address. In order to know what information we collect and how we use it, please check our Privacy Policy, which constitutes an inseparable part of these Terms.
During registration you are required to create a password and keep it safe as you are responsible for your actions, what you create on our platform and how you use the Services. You should keep your account details confidential at all times, do not share or pass on the details of your account to anyone else. If you request to restore your password, we will send a reset password link to your email registered with us. You are responsible for your content and account.
Users under 13 have to be invited to use the Services by the teacher, tutor or school who has registered an account with us. In such cases the inviting user shall be responsible and ensure that all parental control has been properly exercised and all verification and authentication of such users has been fully performed.
If you believe that someone else is using your account, please notify us by sending an email tosupport@liveboard.online.
You may terminate your cooperation with LiveBoard by deleting your account yourself while logged in or you may send us an email atsupport@liveboard.online from your email account registered with us. If you delete/remove your account you will not be able to use the Services comprehensively along with all possible features, however you will still be able to access some of the Services available to non-registered guests. In any case, any use of the Services shall be in accordance with the applicable terms as defined hereby.
Subscription, Free Trials, and Pricing
Subscription: Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless either you or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting us heresupport@liveboard.online.
A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. LiveBoard does not collect any financial data. While making your subscription payments your financial data is registered directly with the platform you use (e.g. Google Play or Apple Store) and we have no access to it. Should automatic billing fail for any reason, please send us an email and we will try to resolve the situation.
For the enterprise subscription and per our discretion we may negotiate different billing process terms and issue invoices, as requested by the user.
Free Trials: At our sole discretion we may offer a Subscription with a free trial for a limited period of time ("Free Trial"). You may be required to enter your billing information in order to sign up for the Free Trial, however you will not be charged until the Free Trial has expired. By the end of your free trial we will send you a notice with a reminder about the expiration of your free trial. If you do not cancel your Subscription by the last day of your Free Trial period and determine to proceed using our Services, you will be automatically charged the applicable Subscription fee for the type of Subscription you have selected.
We reserve the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer by sending a notice to the user.
Pricing: For pricing details, please click here. If there are any changes to the pricing information, we will notify you by email 30 days in advance of those changes entering into force and will place the updated information on our website.
Community Guidelines
You are free to use LiveBoard Services subject to the rules and conditions we have set hereby, and you must follow such rules to continue using our Services. You must use our Services only for lawful purposes, you have no right to register or access our services for unlawful purposes or use those services to commit fraud. You are responsible for the content you post on our platform and how you use our Services. While using our Services you must act in accordance with the applicable laws and regulations.
You must respect others’ intellectual property and any other rights applicable to the use of our Services. You have no right to post any material, which may infringe, violate any law, legal regulation or any other person’s rights. You have no right to post any material, which includes hatred, racism, child abuse or any other crime and/or any other content, which is inappropriate with the purpose of our Services.
LiveBoard has the right to ban your account immediately, or remove the content posted by you if we notice any violation of the above-mentioned rules or regulations.
Parents and registered users who invite students under 13 to use our platform must closely supervise these students’ activities on our platform. Parents and users agree and understand that we have no supervision over what users post and we are not liable for the users’ behavior on the platform.
In case of any suspicious activity or violation of our Community Guidelines or any of our Terms, the users and parents must immediately report such activities and violations by sending us an email atsupport@liveboard.online.
LiveBoard reserves the right to delete any content or account in violation of our Terms. LiveBoard reserves the right to notify and ask users to delete violating content. Following such notice you must take down the violating content immediately with or without any further notice. Failure to delete the violating content within 24 hours can lead to a ban of your account and/or will prevent you from using our Services, including those, which are available for non-registered guests. LiveBoard reserves the right to take down any content that violates these Terms and/or any laws or regulations it is subject to.
Intellectual Property and Copyright Infringement
The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of LiveBoard Inc.. Our trademarks and intellectual property may not be used in connection with any product or service without the prior written consent of LiveBoard Inc.
Users create their own content on our platform and they enjoy all their rights entitled to, including copyright. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property infringement ("Infringement") of any person.
If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service and/or our platform, you must submit your notice in writing to the attention of "Copyright Infringement" ofsupport@liveboard.online and include in your notice a detailed description of the alleged Infringement. But please note, that you may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright, hence make sure your claim is substantiated and submitted through the process defined below:
In case of a copyright infringement incident we follow the procedure established by the U.S. Digital Millennium Copyright Act (DMCA). According to DMCA the person whose rights have been violated may request us to takedown the infringing content by submitting a form . The reported content will be removed from the platform if the request has been determined as valid and submitted with all sections of the form complete, and a notice will be sent to the infringing user. Repeat infringers’ accounts will be removed from our platform.
The user whose content has been removed following such takedown request may submit a counterclaim . Once we receive such counterclaim, we will send a copy of the counterclaim along with contact information to the person who had submitted the initial infringement takedown notice to LiveBoard.
In case a counterclaim has been submitted to LiveBoard with all required valid information included in the form as defined above, and the initial takedown requesting person does not send us a notice about launching a case in the federal court for alleged intellectual property rights infringement, we may restore the removed content on our platform, if possible.
Termination of access
You are responsible for the content you post on LiveBoard. You must use our Services according to the Community Guidelines included hereby. If you violate any of these Terms and Conditions, we have the exclusive right to delete your account and ban your access to our Services any time, with or without any prior notice.
You may also terminate your account or use of the Services anytime from your account while logged in.
These Terms, Privacy Policy and/or any additional conditions added to our Services related to protecting or enforcing our rights and legal interests, disclaimers and warranties, limitation of liabilities, governing law, indemnification shall be valid and in force after such termination.
Refunds in Case of Termination and Service Interruptions
In case LiveBoard terminates your use of Services or deletes your account, you agree and accept that you will receive no refund or exchange of any kind notwithstanding the reason for termination. Likewise, there will be no refund if you voluntarily terminate your account and access to our Services.
We do not guarantee that the Services will work without interruptions or bugs as we may constantly work and modify our Services for your best use. You agree and accept that you will receive no refund in case of such interruptions or bugs of the Services.
Miscellaneous legal terms
Indemnification and Liabilities
You must indemnify and hold harmless LiveBoard (along with its directors, employees, officers, contractors, suppliers, licensors, successors, sponsors) to the fullest extent allowed by applicable law against any and all liabilities, claims, damages, expenses or losses. LiveBoard will not indemnify any expenses arising from your use of the Services, your violations of the Terms or your violation of any third-party rights.
Under no circumstances shall LiveBoard, its affiliates, licensors, sponsors, officers, employees, successors be held liable towards you or any other third party for any kind of expenses, lost profits, loss of data, damages, cost of cover, any personal or property damage in any nature whatsoever, computer of software damages, bugs, viruses, any threat to your computer or gadgets, damage or loss of the materials posted by you and resulting from your access or use of our Services.
Warranties
LiveBoard does not represent or warrant that (a) the Services will be error-free, secure or with no interruptions, (b) the information or materials posted on the platform are correct, accurate or useful, (c) your use of the Services are lawful under any specific law or regulations, (d) that user content, which is marked private will not become public, (e) the Services are free from any harmful components, (f) the defects or bugs will be corrected immediately. LiveBoard disclaims such warranties.
You agree and accept that you use the Services on LiveBoard at your own risk and LiveBoard shall not endorse any user content or other third-party content. LiveBoard disclaims any responsibility or liability to you or any other third party or entity for any kind of losses, damages, expenses arising or resulting from your use of our Services.
Dispute Resolution
Any kind of dispute or claim arising in the scope of our relation on this platform shall be solved through negotiations and communication. Please, apply to our Support team heresupport@liveboard.online in case of any questions or issues.
If a final agreement is not reached through negotiations, then the matter will be resolved by the final and binding arbitration by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, place of arbitration Washington DC. Arbitration award or judgment may be enforced by a court which has jurisdiction over the case.
Any claims not subject to arbitration shall be exclusively litigated in State Courts of the State of Delaware (county/city) and you irrevocably consent to personal jurisdiction of these courts. Hereby you also agree that you may bring claims against us only as an individual and not as part of any class or representative judicial proceeding.
Governing Law
These terms, privacy policy or any other additional terms defined by LiveBoard shall be governed by the laws and regulations of the U.S. State of Delaware, without giving effect to any conflicts of laws principles. The United Nations Conventions for International Sale of Goods does not apply to this agreement. The courts of the State of Delaware shall have exclusive jurisdiction on the matters related to these Terms, Privacy Policy, and any other terms governing the relations between the LiveBoard, users and any third parties.
